1 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Carto Site Ltd ("Carto Site", "we", "us", or "our"), a company registered in England and Wales (Company No. 15847263), with its registered office at 20 Fenchurch Street, Floor 14, London, EC3M 3BY, United Kingdom.

By accessing our Platform at www.carto.site, creating an account, browsing products, placing an order, or otherwise using any of our services, you confirm that you are at least 16 years of age, have the legal capacity to enter into binding contracts, and accept these Terms in full. If you are using the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms.

These Terms should be read in conjunction with our Privacy Policy and Cookie Policy, which are incorporated herein by reference. We reserve the right to amend these Terms at any time. Continued use of the Platform following any changes constitutes your acceptance of the new Terms.

2 The Platform & Services

Carto Site operates an online marketplace that connects buyers with third-party merchants offering products across categories including fashion, electronics, accessories, home goods, luxury items, and more. Carto Site acts as an intermediary platform and, unless expressly stated, is not the seller of goods listed on the Platform.

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. We may also impose limits on certain features or restrict access to parts or all of the Platform without liability. We will endeavour to provide advance notice of significant changes where reasonably practicable.

We do not guarantee that the Platform will be available at all times or that it will be free from errors, viruses, or other harmful components. We shall not be liable for any interruption, delay, or failure of the Platform resulting from causes outside our reasonable control.

The Platform is operated from the United Kingdom. We make no representation that the Platform or its content is appropriate or available in locations outside the UK, though we do accept international orders where shipping is available.

3 User Accounts & Registration

To access certain features of the Platform, including placing orders and tracking purchases, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@carto.site of any unauthorised use of your account or any other security breach. Carto Site will not be liable for any loss arising from your failure to safeguard your credentials.

You may not create more than one account per person or register on behalf of another individual without their express consent. Accounts are non-transferable. We reserve the right to refuse registration, suspend, or terminate accounts that violate these Terms.

You must be at least 16 years old to register. By registering, you represent and warrant that you meet this age requirement.

4 Orders, Payments & Pricing

When you place an order on the Platform, you are making an offer to purchase the selected item(s) at the stated price. An order confirmation email does not constitute acceptance of your offer; acceptance occurs when the order is confirmed as dispatched. We reserve the right to refuse or cancel any order at our discretion.

Prices displayed on the Platform are in the currency shown at checkout and are inclusive of applicable taxes unless otherwise stated. Prices are subject to change without notice, but changes will not affect orders already confirmed. Where a pricing error has occurred, we reserve the right to cancel the affected order and issue a full refund.

Payment must be made in full at the time of placing an order using the payment methods available on the Platform. All transactions are subject to validation and authorisation checks. We accept major credit and debit cards and other payment methods as displayed at checkout. All payments are processed by our PCI DSS-compliant payment processors.

Import duties, taxes, and customs clearance fees applicable in your country are your responsibility unless expressly stated otherwise. Carto Site is not responsible for delays caused by customs processing.

5 Delivery & Shipping

Estimated delivery times are provided in good faith but are not guaranteed. Carto Site shall not be liable for delays beyond our reasonable control, including delays caused by courier services, customs authorities, extreme weather events, or other force majeure circumstances.

Risk in the goods passes to you upon delivery to your specified address. If a delivery attempt is made and you are absent, the courier will follow their standard redelivery or holding procedure. Unclaimed parcels may be returned to us, and re-delivery charges may apply.

You are responsible for providing accurate and complete delivery details. We cannot accept liability for failed deliveries resulting from inaccurate information provided by you.

6 Returns, Refunds & Cancellations

You have the right to cancel your order within 14 calendar days of receiving your goods under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, without giving any reason. To exercise this right, you must notify us clearly within this period at support@carto.site.

Upon cancellation, you must return the goods within 14 days of informing us. Goods must be returned in their original condition, unused, and in original packaging where applicable. You are responsible for the cost of return shipping unless the goods are faulty or incorrectly sent.

Refunds will be processed to your original payment method within 14 days of us receiving the returned goods or proof of return, whichever is earlier. We reserve the right to deduct amounts reflecting any diminishment in the value of goods due to handling beyond what is necessary to establish their nature and function.

Certain items may be excluded from the right of cancellation, including sealed goods that have been unsealed after delivery and are not suitable for return on hygiene grounds, or bespoke/custom-made items. Any such exclusions will be clearly communicated at the point of purchase.

7 Prohibited Conduct

You agree not to engage in any conduct that is unlawful, harmful, fraudulent, or otherwise objectionable in connection with your use of the Platform. Prohibited activities include but are not limited to:

• ›Impersonating any person or entity or misrepresenting your affiliation with any person or entity.
• ›Using the Platform for fraudulent transactions, money laundering, or any other illegal financial activity.
• ›Uploading or transmitting viruses, malware, or any other malicious code that may damage the Platform or users' systems.
• ›Attempting to gain unauthorised access to any part of the Platform, server, or network connected to the Platform.
• ›Scraping, crawling, or using automated means to extract data from the Platform without our express written consent.
• ›Posting false, misleading, or defamatory reviews or content about products, merchants, or Carto Site.

Violation of these prohibitions may result in immediate account suspension or termination and may expose you to civil or criminal liability.

8 Intellectual Property

All content on the Platform, including but not limited to The Carto Site logo, trademarks, design, text, graphics, photographs, software, and underlying code, is the property of Carto Site Ltd or its licensors and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial purposes. You must not reproduce, distribute, modify, create derivative works, publicly display, or otherwise exploit any Platform content without our express written permission.

Product images and descriptions provided by third-party merchants remain the intellectual property of those merchants. Any unauthorised use of such materials is your responsibility.

9 Limitation of Liability

To the fullest extent permitted by applicable law, Carto Site Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Platform or these Terms.

Our total aggregate liability to you for any claim arising out of or related to these Terms or the Platform shall not exceed the total amount paid by you to Carto Site in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited under applicable law, including the Consumer Rights Act 2015.

10 Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless applicable mandatory consumer protection laws in your country of residence require otherwise.

If you are a consumer in the European Union or another jurisdiction with mandatory consumer protection rights, you may also have the right to bring proceedings in your local courts and to avail yourself of local dispute resolution mechanisms.
